Executive Committee of the Board of Directors

Role

Roles

An executive committee is a subset of the Board of Directors that acts on behalf of, and within the powers granted to them by, the Board.

The CAN Executive Committee:

  • Performs an annual review of the Executive Director
  • Reviews the compensation of the Executive Director
  • Vets strategies before bringing them to the full Board of Directors
  • Makes limited board-wide decisions

Examples of how other non-profit organizations use their Executive Committees include:

  • Approving policy decisions
  • Reviewing and approving management proposals
  • Establishing the agenda for Board meetings

Used appropriately, Executive Committees enable a board to conduct urgent business when a regular meeting isn’t scheduled and the full board can’t readily be convened.

Members

Members

The CAN Board of Directors consists of between seven and fifteen individuals. Members of the Executive Committee is comprised of the Chair, Vice-Chair, Treasurer, and Secretary.

Meetings

Meetings of the CAN Executive Committee

The CAN Executive Committee meets on an as-needed basis, but at least once per year.

Notice is provided via email from the Executive Director or Board Chair.

Benefits of Executive Committees

Boards that meet less often, especially quarterly, may benefit from an executive committee to handle routine business, exercise oversight, and engage with senior management in months when the full board doesn’t convene.

Executive committees can also vet ideas before bringing them to the full board.
