  1. Hey guys, So jesse here was digger, inc the reason
  2. you're looking at this video is because we created a
  3. M and a mergers and acquisitions program that helps young
  4. entrepreneurs or previous like real estate investors, uh, successful serial
  5. entrepreneurs to passively and actively get into buying established businesses
  6. to create wealth or to accelerate their wealth from where
  7. they're currently at.
  8. This structure has been tried intrude.
  9. There's a lot of private equity firms, family offices and
  10. people that currently use this structure or entities that use
  11. this structure that have made massive amounts of returns.
  12. And I feel like it's been an exclusive club.
  13. So, you know, the retail investor, the mom and pop
  14. investor, they're not familiar with this structure because they haven't
  15. been properly educated on it or it's because they currently
  16. don't know how to evaluate deals or they haven't really
  17. thought about looking at buying established businesses versus real estate
  18. or different other asset classes.
  19. For example, investing in startups or stocks bonds, E.
  20. T. F.
  21. So things like that.
  22. So I'm going to jump into it.
  23. Um, So we, we created 10 steps to financial independence.
  24. Uh, these 10 steps they work, they've been proven.
  25. If we look at successful entrepreneurs that have 7-8 figure
  26. exits and we kind of dive into what has made
  27. them successful and how they've been able to grow their
  28. wealth. The first step I would say, is personal credit
  29. when you go to buy a home or when you're
  30. going to buy, uh, like your car, uh, interest rates
  31. are impacted based on your personal credit.
  32. So if you have bad personal credit, you're going to
  33. be paying thousands of dollars on interest over time.
  34. Say for example, if you're buying $1 million house you
  35. know, you might end up paying 100,000 plus on interest
  36. over those 30 years that you have this loan.
  37. Uh So age becomes a factor utilization.
  38. Uh, the amount of limits that you have, some people
  39. that could go get a credit card, it has a
  40. $30,000 limit or others have to start with like a
  41. secured card or you might end up going and get
  42. a discover card, you know, things like that.
  43. So inquiries become a problem as well over time when
  44. you're building your credit, if your credits new, you can
  45. get so many inquiries compared to some other financial institutions
  46. because they may limit your ability to get accounts with
  47. them based off of how many times you've applied for
  48. credit. There are certain rules.
  49. For example, with chase, there's a 524 rule, you can't
  50. have five accounts um in 24 months or they'll automatically
  51. decline you for future cards.
  52. There's a hard pull versus a soft poll.
  53. Uh when working with us on our financial department, we
  54. actually help you so that you're able to go out
  55. and get soft approvals.
  56. So you don't get those inquiries on your credit profile.
  57. So personal credit is super important.
  58. I feel like that's the first step or or the
  59. building block um for your actual foundation to build your
  60. wealth, the second uh setting up a business.
  61. So when you're setting up a business, there's a lot
  62. of factors.
  63. For example, there's compliance.
  64. You know, you want to be registered with the I.
  65. R. S.
  66. So that you could pay taxes, you'll have tax returns,
  67. you want to be filed with the secretary of state
  68. so that you can get a certificate of good standing.
  69. You want to have a business phone line, a business
  70. address, you could have this listed on your google listing.
  71. There's social media accounts.
  72. You want to be social almost every business now if
  73. it's successful and it's growing, you want to have a
  74. social media presence.
  75. That's how you stay connected to your customer's clients.
  76. You know, whoever that's going to be paying you for
  77. your products or service is typically they're looking at you
  78. from social media platforms, you're going to have a website
  79. so that you're easy to found your, easy to uh
  80. connect with or contact.
  81. Um basically this all comes down to business compliance.
  82. So the third step, once you have your personal credit
  83. set up, your business is set up now you start
  84. with business credit.
  85. So there's a business credit tier system that we use
  86. uh and basically the whole financial community or finance community
  87. uses this system to establish business credit.
  88. You could actually go out and get 20-30, you know
  89. lines of credit or vendors and things like that.
  90. Um But when you actually build cache lines of credit
  91. based off of your business credit not your personal credit,
  92. you have to have some type of strong foundation so
  93. that when you apply you actually get approved.
  94. Um One of the factors is, so when you're looking
  95. at actually getting approvals there's a thing called merchant cash
  96. advance or M.
  97. C. A.
  98. M. C.
  99. A. Is like high interest types of lines of credit
  100. based off of accounts receivables in your business.
  101. Um versus long term debt.
  102. You could actually go out and get long term debt
  103. that has low interest.
  104. You can get business credit cards that have 0% A.
  105. P. R.
  106. Within a certain timeframe 18 to 21 months.
  107. You could use this money make the minimum payment and
  108. actually scale your business um You know having really cheap
  109. working capital from using existing lines of credit.
  110. The way that you actually pull your credit for your
  111. business is through Nav.
  112. There's a site called knob.
  113. You can actually look up your personal and business credit
  114. using this helps you keep track of it the growth
  115. because there's different credit bureaus so there's like Dun and
  116. Bradstreet that's out there.
  117. There's a Fico business score you really want to know
  118. what your business is performing on the business credit side
  119. before you start applying for some of these accounts in
  120. the future.
  121. Alright so now we're getting to the four step.
  122. The fourth step is really evaluating how you're going to
  123. build out income And to build our opportunities using the
  124. existing cash that you currently have.
  125. So in your business for example you might have $20,000
  126. coming in a month but you're spending is at $15,000.
  127. So you could actually use that 20,000, go to Fintech
  128. institutions, uh certain companies expense management platforms and they'll match
  129. what you have coming in.
  130. So you might have 20,000.
  131. Now you go to 3 to 5 of these institutions.
  132. Now you have 80,000, you could use that 80,000 to
  133. either buy assets for your business equipment or you could
  134. actually dump it into marketing to grow that business hire,
  135. staff, expert systems, uh you know, increasing employees, um your
  136. overall online experience, things like that.
  137. So once you get into this there's more opportunities to
  138. make more money.
  139. Once you start making more money you have more cash
  140. flow coming into your business account, you can now negotiate
  141. equity partners or venture debt.
  142. You could get into syndication.
  143. For example, if you own a real estate brokerage, you
  144. can now look at property management with joint partners in
  145. which other realtors come in.
  146. You start managing your own properties.
  147. You get into like syndication on multi family properties, like
  148. an L.
  149. P. G.
  150. P. Structure.
  151. All that's done.
  152. Uh post the time that you actually have money coming
  153. into a business bank account and you have a business
  154. structure in place.
  155. So what does it come down to once you have
  156. all this structured, you have business that's making money, it
  157. comes down to the amount of income you have coming
  158. in and what those margins are.
  159. So you might have a $5 million dollar gross income
  160. business. But if your margins are really low that business
  161. is going to be have a lower evaluation.
  162. So when we're looking at buying established businesses were looking
  163. at those margins is their efficiencies that we could come
  164. in and and change you know, so like can we
  165. make that business more efficient?
  166. Can we lay off workers or hire workers that can
  167. do a better job?
  168. Is there better systems, better software that we can use.
  169. Is there better markets, is there additional revenue streams?
  170. So when evaluating businesses including your startup that you may
  171. be working, we're going to be looking at tax returns,
  172. we're going to be looking at P.
  173. And L.
  174. Statements, the balance sheet and we're going to put together
  175. a Proforma.
  176. So there's different metrics when evaluating businesses, there's Ebola, there's
  177. also S.
  178. D. E.
  179. Stands for sellers, discretionary earnings.
  180. These are metrics that evaluate how the business is performing
  181. um that the broker or how that business is being
  182. presented to you?
  183. These are the numbers.
  184. So we actually go through those numbers and we adjust
  185. those based off of a different formula that is in
  186. our best interest to buy that business.
  187. So what is your acquisition strategy, why are you looking
  188. at businesses to buy?
  189. Why are you looking at real estate to buy?
  190. You're doing this so that you establish wealth, it gives
  191. you freedom.
  192. It allows you to do some things that you couldn't
  193. do working a regular day job.
  194. Uh There's a certain vertical that you're going to be
  195. more comfortable with a certain industry.
  196. Um you might need help with the management side.
  197. You've never managed a business, there's efficiencies that you're going
  198. to bring in.
  199. There's operations, cost reduction, there is synergy with partners.
  200. So you might be presented the opportunity to partner with
  201. an investor that understands that industry or a JV partner
  202. that's going to come in and run that company for
  203. you. So, talent is a big one right now.
  204. It's hard to hire employees because people don't want to
  205. work. But it also comes down to benefits.
  206. Uh if you're competing, I say company or somebody that's
  207. in that market has better opportunities for talent.
  208. That's where people are going to go.
  209. So you have to have competitive benefits, competitive pay, have
  210. a competitive work culture that people want in order to
  211. keep talent.
  212. Um So you're, you're kind of looking at each industry
  213. what those costs are going to be your autumn.
  214. Izing a process that that on boards, those like uh
  215. for example, HR you might do like a remote HR
  216. agent or interim ceo or Ceo that's going to come
  217. in and help you get to that level so that
  218. then you can attract future employees.
  219. Uh for e commerce, there's affiliate marketing, there's outsourcing like
  220. hiring VHS so there's a strategy that goes to talent
  221. management, sales types.
  222. So when you're looking at buying a business, there's two
  223. different types of sales.
  224. One of them is a stock sale in which you're
  225. actually buying the business entity through the sale or purchase
  226. of stock.
  227. And then there's also a way that you can buy
  228. businesses that are strictly assets.
  229. So assets can be intangible or tangible assets.
  230. You might buy a business that has equipment or you
  231. might buy a business that have like contact lists, email
  232. lists, vendor lists, you know, stuff like that.
  233. All the intellectual property, the websites, the social media profiles.
  234. Some of these are like say their yelp reviews, right?
  235. They might have 10,000 yelp reviews.
  236. Five star ratings for this business.
  237. Well, you know, you probably want those when you're buying
  238. this business.
  239. I eventually you're going to use your LLC.
  240. Or your C.
  241. Corp to buy this business and then you're going to
  242. do what's called doing business as Hors D.
  243. B. A.
  244. In that same business name so that you keep the
  245. same brand recognition and credibility behind your business.
  246. Um So there's two different types.
  247. There's um creative financing strategies, you're looking at seller financing.
  248. Uh there's promissory note financing when investors come in.
  249. They could be like a convertible note structure.
  250. There's different ways that you could onboard investors or JV
  251. partners and, and put that together an illegal binding document
  252. so that everybody is secured.
  253. There's operating agreements that come into play.
  254. All that helps structure the acquisition of the business.
  255. Um, One of the things to keep in mind is
  256. that a business acquisition is different than a real estate
  257. purchase because the SPS terms or the lenders terms are
  258. going to be shorter amount of terms.
  259. So when you're evaluating companies, you want to make sure
  260. that you could service that debt and still have net
  261. cash flow to either pay the investors or to pay
  262. yourself as the owner operator and it's enough money to
  263. make it worth your wild after your servicing the debt.
  264. So servicing the debt allows you to build equity in
  265. the business and hopefully your intentions are to grow that
  266. business so that you make a multiple on top of
  267. that. Uh, there's different strategies when it comes to real
  268. estate. So, real estate, there's like lease options were to
  269. own, when you're looking as far as buying a business,
  270. you could buy the business and then lease the actual
  271. real estate to that business while you own the purchase
  272. of it.
  273. So different different strategies, definitely what you're getting into, more
  274. technical stuff on the legal structure, um, and on the
  275. tax purposes.
  276. So when you're buying a business, there's an actual exit
  277. strategy, you're either buying and holding it, you're buying it
  278. to sell off.
  279. You might sell off to a public company, you might
  280. sell it off to, like a hedge fund or private
  281. equity firm.
  282. There's different strategies as far as are you going to
  283. franchise it or you're gonna have licensing rights, uh, maybe
  284. you created a business that is so good that you
  285. want other people to create a similar business just in
  286. a different state or city.
  287. So, yeah, there's a lot to think about.
  288. If you're interested in buying a business for a living,
