•Recap Seleris: Silicon 6 •Martha McCaskey has been given the lead on the Silicon 6 Project.

•Very difficult to collect information on the target company

•Discovered that she could receive information from former vice president of the target company, Phil Devon •Martha McCaskey completed her undergraduate degree at Caltech in the field of electrical engineering .

•After attending Harvard to pursue her MBA. Martha decided she wanted to pursue a career in consulting. Martha McCaskey Education Alternative 2 What is best for McCaskey? Martha McCaskey Team H Martha McCaskey Work Experience •Martha currently works at Seleris in the Industrial Analysis Division.

•She has been working for the company for a total of 18 months, and previously worked for a major consumer electronics firm.
Maximize NOPAT in the long run for Seleris’ while sustaining the least unethical and financial damage to you

(i.e., constituents’ expectations)

Timely completion of projects

Above-satisfactory completion of projects

Above-satisfactory compilation of useful data

Effective delivery of useful information

Self-motivation and ingenuity to acquire industry-leading information OUR DEFINITION OF SUCCESS: SOME KEYS TO OUR CONTINUING SUCCESS: SELERIS’ INFRASTRUCTURE OPERATIONS
IN GENERAL Ethical Compromise The Challenge: Seleris’ client is interested in the cost structure and manufacturing technologies of a new chip being produced by its competitor.

•The proprietary/ exclusive information has proven difficult to obtain.

Issue to address: What is best for Martha McCaskey and Seleris?

Goal: Maximize Seleris’ NOPAT in the long run while balancing ethical concerns arising from its corporate “culture”. Alternatives • Continue on as planned - have Martha interview Devon the second time offering him an increase in pay to gain valuable information

• Have Devon provide several different alternatives, including the one used at the competitor's plant.

• Contact upper management and consider resignation in regards to the the unethical behavior

• Ask Kauffman to conduct the second interview with Devon to obtain all the proprietary information (Proposal) Alternative 1 Continue on as planned - have Martha interview Devon the second time and offer him an increase in pay for more specific information. Positives Negatives Devon would be more comfortable interviewing with Martha.

Martha has knowledge in the industry from her education Martha is not comfortable with paying for proprietary information

Martha does not have a lot of experience using this technique Even though…
Martha may have an easier time retrieving the information

Because…
Kauffman has more experience
Martha may not be able to conduct the interview

Reasoning…
There is no reason to have Martha attempt to do the second interview when Kauffman has more experience and is more comfortable. She will still complete the project, and receive the promotion. Having Kauffman conduct second interview is better than...
Having Martha conduct the second interview. Have Devon provide several different alternatives, including the one used at the competitor's plant. Positives Negatives Devon would not suspect Martha's intent
Martha would get the necessary information and Devon would be financially rewarded
Successful completion will lead to double the fee and prospect for similar projects i.e. higher NOPAT Martha would have to compromise her values - Gentleman's industrial espionage
Client's dissatisfaction leads to a decrease in Seleris Associates' NOPAT Having Kauffman conduct second interview is better than...
Having Devon provide several different alternatives, including the one used at the competitor's plant. Even though…
Having Devon prepare several different analyses in anticipation of one of them being informative would yield more information than is currently available while avoiding “sleazing”.

Because…
This will increase costs
No guarantee that the information provided will be specific to the clients’ competitor’s cost structure and manufacturing technologies.

Reasoning…
1) if the most useful information is not obtained, the client will be dissatisfied and stop/ decrease its business with Seleris. (2) this will decrease Seleris’ NOPAT since this client is responsible for 20% of the Industry Analysis Division of Seleris. Alternative 3 Contact upper management and consider resignation in regards to the the unethical behavior, without completion of Silicon 6 Positive Negative helps directly address her concerns.
could be an issue that upper management is unaware of.
directly aligns with marthas ethical values and norms.
if company refutes her concerns, she will feel alienated from the company and will lose popularity from her superiors. forcing resignation
even if the company accepts her concerns. a loss in revenues will follow
if she ends up resigning, she could be leaving the company on bad terms Having Kauffman conducts second interview, it is better than... Contacting upper management and consider resignation in regards to the the unethical behavior Even though…
contacting management best serves her ethical values and creates the possibility of avoiding/withdrawing the assignment.
Because…
if she is forced to resign and leave on bad terms, it could hurt her corporate reputation
loss of revenues and NOPAT will result even if upper management agreed with her

Reasoning…
if assignment goes as planned after Martha complained, it could cause her forced resignation and/or show the company she might be unwilling to complete future tasks due to ethical boundaries. she could get replaced. Proposal Details •Have Chuck Kauffman meet with Devon for the second interview to obtain his knowledge.

•Once Silicon 6 is handed off, Martha should express concerns about Seleris’ “ethical culture”.

•Develop action plan for seeking new employment if the threat of ethical compromise resurfaces.

•There is still some risk involved that Devon may be onto Seleris' real intentions. Implementation For this Silicon 6:

•Accept Malone’s suggestion to consider having someone else (Kauffman) meet with Devon for the second interview..

•Accept offer to continue overseeing project Silicon 6 until completion

•Continue to perform to the standard you have established on all other projects.

Going forward with Seleris (governance):

•Express concerns and establish boundaries within Seleris regarding the corporate culture of ethics.
Summary: Having Kauffman conduct second interview Is better than the Alternatives Reasons Favoring Alternative Reasons Favoring Proposal Having Martha continue and conduct the second interview with Devon Martha has knowledge in the industry from her education and Devon would be more comfortable interviewing with Martha. Kauffman has more experience and will be able to complete the interview successfully with less risk of giving away their true intentions Have Devon provide several different alternatives, including the one used at the competitor's plant. Having Devon prepare several different analysis in anticipation of one of them being informative would yield more information than is currently available while avoiding “sleazing”. Contact upper management and consider resignation in regards to the the unethical behavior, without completion of Silicon 6 Kauffman has more experience and will be able to complete the interview successfully with less risk of giving away their true intentions Most favorable towards Marthas ethical norms and beliefs. gives her an opportunity to completely abandon her association with the Silicon 6 case. Kauffman has more experience and will be able to complete the interview successfully with less risk of giving away their true intentions Problem:

What is best for Martha McCaskey and Seleris?
